Asset Sale

In the context of a business sale, an asset sale or asset acquisition refers to a type of transaction wherein the buyer acquires all or a portion of the assets of the target company rather than the shares of the business.
In other words, the buyer purchases individual assets, such as equipment, inventory, intellectual property, customer contracts, and goodwill, and may or may not assume specific liabilities, while the legal structure of the business entity itself may remain with the seller.
